The company announced Thursday it received notice Monday from AMEX that delisting was pending because iMergent had missed the deadline for filing its Form 10-K report for the fiscal year that ended June 30, 2005.

A company statement said iMergent intends to inform AMEX by Oct. 24 of its plan for coming into compliance by Jan. 31, 2006. IMergent added that it had informed the stock exchange on Sept. 13 that its filing was going to be late, citing "management's continuing review of the appropriate interpretation and application of generally accepted accounting principles related to revenue recognition."

The company faces proposed federal class action lawsuits alleging securities violations, fraud and deceptive sales practices. It also is accused of providing misleading or false information that allegedly enabled it to profit from insider trading.

The Ogden/Weber Chamber of Commerce will host a free business expo Wednesday and Thursday at the Ogden Airport Gateway Center. The expo will feature more than 100 booths, free seminars, a skydiving show, helicopter rides and several networking opportunities.
